THE CHIRON! CAPITAL RAISE BOARD™ CLASS ORDER WARNINGS
.
THE AUSTRALIAN SECURITIES AND INVESTMENTS COMMISSION:
CLASS ORDER 02/273: CLASS ORDER WARNINGS TO INVESTORS
Under Australian Securities & Investments Commission regulations that govern my work in helping companies to raise capital through The Chiron! Capital Raise Board™, I am required to bring a number of Class Order warnings to the attention of investors before permitting investors to access the Board’s investment proposals. I would therefore be most grateful if you would read the Class Order warnings set out below and complete the accompanying acknowledgement form.
When you formally acknowledge the Class Order warnings, you will have full access to The Chiron! Capital Raise Board™ Investment Offers where you can review and download information relating to specific investment proposals.
This is a Formal Notice to Investors
Chiron! the business doctor.™ is a Business Introduction & Matching Service operating pursuant to regulations contained in Class Order 02/273 issued by the Australian Securities & investments Commission.
Investments in new businesses carry high risks
Seek independent advice. Investments in new businesses are highly speculative and before investing in any project about which information is given, prospective investors are strongly advised to take appropriate professional advice before accepting an offer for an issue or sale of securities.
Offers published in this website are the issuers’ responsibility
Capital raise offers are the issuer’s responsibility. The information contained in the capital raise offers published in this website have been prepared by or on behalf of the persons or companies who are proposing to issue or sell the securities or scheme interests. Neither Graham Segal trading as Chiron! the business doctor.™, nor his officers, employees, advisers, agents, affiliates and representatives have undertaken an independent review of the information contained in these equity or debt offers.
Investors should not rely solely on information published in Offer documents
Don’t use capital raise offer documents as the sole source of advice. The information contained in the capital raise offers published in this website is not intended to be the only information on which the investment decision is made and is not a substitute for a prospectus, a product disclosure statement or any other notice that may be required under the Australian Corporations Act, as the Act may apply to the investment. Other more detailed information may be needed to make an investment decision, for example: financial statements; accounts; a business plan; information about ownership of intellectual or industrial property; or expert opinions including valuations or auditors’ reports.
However, just because a capital raise offer document as published in The Chiron! Capital Raise Board™ has a lower disclosure level than a prospectus, that doesn’t necessarily or inevitably mean that the information contained therein is less accurate or factual.
The price to be paid for securities is always subject to bargaining
Price subject to negotiation. In any stage of capital raising being undertaken, the pricing of the securities provides investors with a guide only and the price paid for securities will always be a matter for negotiation between the parties.
There is no established market for the trading of securities listed here
No seller offers/buyer bids market exists. Prospective investors should be aware that no established market exists for the trading of any securities or scheme interests that may be offered (that is, there is no market for unrestricted seller offers and buyer bids for the sale of securities). However, Graham Segal trading as Chiron! the business doctor.™ can facilitate the trading of securities and scheme interests by providing a secondary sellers market through his role as a business matchmaker pursuant to ASIC Class Order 02/273 by bringing investors into contact with investment opportunities in growth companies.
Offers published in this website are issued by the companies concerned in good faith
Equity offers made in good faith. Capital raise proposals published in The Chiron! Capital Raise Board™ are offers that are issued in good faith by the company or persons making the capital raise offer. The issuing company or persons are the sole source providers of all information, data and business projections in the offer. Under regulations governing the publication of capital raise offers pursuant to Section 708 of the Corporations Act 2001 and Class Order 02/273 issued by ASIC, the issuing company or persons must warrant that all reasonable care has been taken to ensure that the information, data and business projections are as true and accurate in all material respects as is possible to be. Moreover, the issuing company or persons must further warrant that they are not aware of any other facts, the omission of which would make misleading any statement in the investment offer.
No guarantees of achieving published business plan projections or performance
No guarantees. As a general rule, the issuing company or persons will not be able to guarantee that sales, cash flows or profits, or any specific business objective or particular performance levels will be achieved. Investors are therefore warned that business plans and projections offered in good faith may be subject to change over time because of circumstances beyond a particular company’s or person’s control. Such changes of course need not necessarily be adverse; but even favourable changes in circumstances may require consequent variations to the business plans and projections that may be significant to investors.
Good faith projections. Business plans and projections offered in good faith therefore may have to be varied as a result of legislative, regulatory or policy changes by governmental authorities or agencies, changes in the national/international economic situation or other changes that were not anticipated at the time that the business plans and projections were compiled.
Offers published by Chiron! the business doctor.™ are offered in good faith
No warrants. Within the context of the foregoing information, Graham Segal trading as Chiron! the business doctor.™ presents company investment offers to potential Investors in good faith, believing the information, data and business projections to be true, but cannot warrant their accuracy, completeness or reliability. Accordingly, Graham Segal trading as Chiron! the business doctor.™ makes no representation, either express or implied in respect of the information, data and business projections in any investment proposal published in The Chiron! An Apology from Graham Segal trading as Chiron! the business doctor.™
1. Equity raising is subject to government regulation
No circumvention of regulations. I sincerely regret having to ask you for these personal details. I myself generally prefer to remain anonymous on the Web, as I know you do also. Unfortunately, the nature of my consultancy business where I help companies to raise equity capital from the general public means that I am personally subject to government regulation.
2. Beware the dark side of the venture capital industry
Regulations are inherent worldwide. Governments worldwide have imposed regulations because there is a very dark side to the venture capital industry. The simple fact is that there are a lot of crooks, cheats, scammers and swindlers out there in the world of equity capital raising who have fraudulently ripped off both companies seeking equity capital and investors for thousands and thousands of dollars. The regulations that I conform to therefore protect both companies seeking equity capital and investors seeking investment opportunities with growth companies.
3. Personal details will be protected & safeguarded
The dark side. The dark side of the venture capital industry means that I have to know who is accessing the website pages that deal with investments in growth companies. You have my assurance (as an experienced business consultant who is used to dealing with and protecting clients’ business and personal secrets) that the information you provide in the form above will be protected and will never be disclosed to a third party without your express permission.
Please note. This acknowledgement of the ASIC Class Order Warnings to Investors is not the same as registering with Chiron! the business doctor.™ to receive my blogs and other useful materials that I distribute from time to time. This acknowledgement of the ASIC Class Order Warnings to Investors is a separate record that I safely retain for reference in the event that I become subject to an audit by ASIC of my work on behalf of client companies and entrepreneurs.
Thank you for your understanding in this matter.
